Ontario's Arthur Wishart Act (Franchise Disclosure), 2000, is the primary law governing franchise relationships in the province. It creates legally enforceable disclosure obligations that franchisors must meet — and powerful remedies for franchisees when they do not.

Ontario has the highest volume of franchise activity in Canada. Over 1,400 franchise brands operate in the province. The Arthur Wishart Act applies to virtually every franchise relationship where a franchisee operates in Ontario. Franchisors — whether based in Ontario, elsewhere in Canada, or internationally — cannot opt out of its requirements.

The consequences of non-compliance are severe. A defective or late FDD gives a franchisee the right to walk away and recover every dollar paid. FDD Delivery — 14-Day Rule

Under the Arthur Wishart Act, franchisors must deliver a complete, compliant FDD to the prospective franchisee at least 14 days before any agreement is signed or money is paid. The clock starts only when a compliant FDD is in the franchisee's hands. A deficient FDD does not start the clock.

Franchisee Rescission Rights

If the franchisor provides a defective FDD, the franchisee has 60 days to rescind and recover all amounts paid. If no FDD is provided at all, that right extends to two years. These are automatic statutory rights — not negotiable — and they apply to virtually every franchise agreement entered into in Ontario.

Duty of Fair Dealing

The Arthur Wishart Act imposes a statutory duty of fair dealing on both parties throughout the franchise relationship — in performance and enforcement. Courts have applied this duty to termination decisions, renewal disputes, and systemic franchisor conduct that prejudices franchisees.

Right to Associate

Ontario franchisees have a statutory right to associate with other franchisees and to form a franchisee association without reprisal from the franchisor. Any agreement that purports to limit this right is void. This is a uniquely strong protection under Ontario law that franchisors must understand and respect.
